1. Acceptance of Terms
By accessing or using the Xynex platform, APIs, dashboards, hosted checkout, payment buttons, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service (the "Terms"). If you are accepting on behalf of a business, you represent that you have authority to bind that entity. If you do not agree, do not use the Services.
2. Eligibility and Account Registration
To use the Services as a merchant you must (a) be at least 18 years old, (b) complete our onboarding and Know-Your-Business (KYB) verification, (c) operate a lawful business not engaged in anyprohibited category, and (d) provide accurate, current and complete information. You are responsible for maintaining the confidentiality of your API keys and login credentials and for all activity that occurs under your account.
3. The Services
Xynex provides cryptocurrency payment-acceptance, settlement, and payout infrastructure. We act as a technology provider. Cryptocurrency custody, on-chain settlement, and conversion functions are performed by third-party regulated counterparties. Xynex is not a bank, money-services business, or virtual-asset service provider in every jurisdiction; merchants are responsible for determining whether they are licensed to operate in their own jurisdiction.
4. Fees
Platform commission, fixed fees, conversion spreads and network-fee markups applicable to your account are shown in your dashboard and may be updated with at least 14 days' prior notice. Network (on-chain) fees are passed through at cost plus the markup disclosed in your fee plan. Fees are deducted from gross proceeds before settlement.
5. Settlement, Holds and Reserves
Settlement timing, payout cut-offs, and any rolling reserve applied to your account are disclosed in your merchant dashboard. Xynex may place funds on hold or apply a reserve where required by risk, dispute, chargeback, regulatory, or compliance reasons. Held funds remain your property and are released as soon as the underlying condition is resolved.
6. Prohibited Activities
You may not use the Services to process payments for any activity that is illegal in the merchant's or customer's jurisdiction, that violates ourAML/Sanctions Policy, or that is included in our prohibited-categories list (e.g. unlicensed financial services, illegal goods, weapons, adult content involving minors, ransomware, mixers, darknet services, sanctioned jurisdictions). Violation will result in immediate account termination and funds may be frozen pending investigation.
7. Refunds, Disputes and Chargebacks
Cryptocurrency transactions are technically irreversible on-chain. Refunds are issued by the merchant from its available balance through the Xynex dashboard or API. You agree to maintain a clear, public refund policy. Disputes raised by customers are handled through the Xynex disputes workflow; you must respond within the timelines shown in the dashboard or the dispute may be resolved against you.
8. Compliance Responsibilities
You are responsible for your own tax reporting, sanctions screening of your customers where required, AML/CTF program (where applicable), licensing, consumer-protection compliance, and PCI obligations (where applicable). Xynex provides risk and compliance tooling but does not assume your regulatory obligations.
9. Data and Privacy
Our processing of personal data is governed by ourPrivacy Policy. As between you and Xynex, you are the controller of your customers' data and Xynex acts as a processor for payment-related processing.
10. Intellectual Property
The Xynex name, logo, brand, software, dashboards, documentation and APIs are owned by Xynex and protected by intellectual-property laws. You receive a limited, non-exclusive, revocable license to use the Services for your business during the term of these Terms. You may not reverse-engineer, resell, sublicense, or re-brand the Services without our written consent.
11. Disclaimers
The Services are provided "as is" and "as available". To the maximum extent permitted by law, Xynex disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Cryptocurrency prices are volatile; we do not guarantee any specific conversion rate.
12. Limitation of Liability
To the maximum extent permitted by law, Xynex's aggregate liability arising out of or relating to the Services in any 12-month period will not exceed the greater of (a) the total fees paid by you to Xynex in that period, or (b) USD 1,000. In no event will Xynex be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, or lost data.
13. Indemnification
You will indemnify and hold harmless Xynex and its affiliates from any claim, loss, liability or expense (including reasonable legal fees) arising from your use of the Services, your products, your customers' claims, your breach of these Terms, or your violation of any law or third-party rights.
14. Termination
Either party may terminate these Terms on notice. We may suspend or terminate immediately if you violate these Terms, present an undue compliance or fraud risk, or fail KYB verification. On termination, Xynex will return any net balance to your verified payout address subject to applicable holds, reserves, and regulatory obligations.
15. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified by email or in-dashboard at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of the jurisdiction in which Xynex is incorporated, without regard to conflict-of-laws principles. Disputes will be resolved in the competent courts of that jurisdiction, or by binding arbitration where required.
